TCC Subscription
Dear New Partner,
The Contractors Consultants LLC (“We” or “Us”) are excited to partner with you and provide recruitment and hiring services to support your business. Below are the key terms of our engagement. References to the ‘Outsourced Hiring’ plan apply only to clients who enrolled prior to its discontinuation and are maintained here solely for contractual continuity.
Scope of Services & Definitions
We simplify hiring in construction by matching you with the perfect fit, from tradespeople to executives, streamlining your process. Here is what we do to achieve that, although it varies from time to time:
- Create custom branded hiring imagery
- Write job descriptions tailored to your needs.
- Build out client branded career page (hosted by Us). This career page is only available while the client subscription is active.
- Manage job postings on various platforms for maximum exposure.
- Handle applicant intake, vetting, and provide feedback on rejected applicants.
- Communicate with applicants, including scheduling interviews and confirmations.
- Conduct initial phone interviews on your behalf.
- Schedule final interviews with qualified candidates.
- Send professional rejection letters and conduct rejection calls.
- Facilitate background checks (the cost of $80 per background check is passed through and will be agreed upon if and when such services are requested).
Additional Locations
Each account starts with one distinct location (see Key Definitions for the definition of a “location”).
If you require hiring assistance for multiple locations, an additional fee of $250 per month per location applies. This ensures that each location receives dedicated attention, maintaining quality across all hiring processes. For locations added mid-cycle, a prorated payment will cover the remaining period. If you start with multiple locations, these fees will also be included in the initial and second payments.
Additional Roles
Each account starts with up to three roles (see Key Definitions section for the definition of a “role”). For each additional role required, an additional fee of applies, as outlined below:
- $832 per role per month if on the Active Headhunter subscription.
- $500 per month if on the Outsourced Hiring subscription (service discontinued for new enrollments).
The First 60 Days
The First 60 Days (guarantee period), is defined as the 60-day period commencing on the date of the completed onboarding call.
Job Campaign Changes
The Contractor Consultants is flexible and able to accommodate changes, edits, and role swaps to job campaigns (job opening searches).
“Job Campaign Changes” means i) any requested edit or adjustment to job titles, job description copy, applicant requirements or experience level, changes in work location, and or, adjustments to the candidate vetting process and ii) closure of job campaigns at your request due to factors outside of The Contractor Consultants control; including without limitation a reduction in staffing needs or available work, and or, lost or closed projects.
- Job Campaign Changes may not be executed within The First 60 Days unless a) you have approved a candidate for onboarding or b) if you have extended an employment or contract offer to any candidate vetted by The Contractor Consultants.
- After the initial 60 days, Job Campaign Changes may be made and require a minimum of 2 weeks’ notice to us. Processing of changes may require up to five (5) business days for full completion.
- The Contractor Consultants will confirm any Job Campaign Change request that may impact the applicability of Great Candidate Guarantee.
Client Responsibilities
To ensure we can work efficiently together, we ask the following from you:
- Disable any competing job postings your internal team may be managing during the engagement period.
- Disclose any external relationships with other recruiters or services that directly overlap with the services we provide in order to ensure fair distribution of all job ads and to prevent process overlaps. Competing relationships may impact our ability to perform as intended. In the event existing relationships are not severed we will discuss any possible impact during your onboarding period and may adjust service fees accordingly and at our discretion.
- Maintain open lines of communication and make reasonable efforts to attend and participate in ongoing, recurring touch points and business review meetings and discussions.
- Provide candidate feedback within 48 hours of receipt.
Client acknowledges that failure to comply with these responsibilities may impede the effectiveness of the Services and shall relieve The Contractor Consultants of its obligations under the 'Great Candidate Guarantee’.
What You Pay, When You Pay, and What You Get
Subscription
We manage up to three active job campaigns under one location simultaneously under both our signature Active Headhunter and the discontinued Outsourced Hiring Subscriptions - examples include job campaigns like Laborer, Project Manager, and Office Assistant. You can swap out job campaigns as needed by simply reaching out to your Hiring Success Manager (conditions apply).
Payment Terms
Initial Payment
Strong Foundation: $2,495, covering your initial asset setup, onboarding, rapid recruitment assessment, and labor market analysis. In addition to the Strong foundation payment, your initial payment will include your first month of active hiring with the amount totaling:
- $2,495 for Active Headhunter.
- $1,495 for Outsourced Hiring (service discontinued for new enrollments).
Monthly Payments
Starting 30 days after completing your onboarding call, your subscription will auto-renew and you’ll be billed $2,495 per month under Active Headhunter or $1,495 for Outsourced hiring (service discontinued for new enrollments) until your subscription is adjusted, paused, or canceled.
Missed Payment
Should payments not be received within ten (10) business days, services may be paused, and the Great Candidate Guarantee (GCG) will be voided. The Contractor Consultants (TCC) reserves the right to terminate this agreement if payment remains outstanding after thirty (30) days.
Reactivations
Clients may pause services at any time so long as they meet the requirements outlined in the Subscription Pause Request section. A reactivation fee of up to $995 may apply if a subscription restarts to cover any updates or changes needed to relaunch the campaign.
Subscription Pause Request
In the event you need to cancel your subscription we require you to communicate with us in writing at least fourteen (14) days before your next billing date. This allows us time to properly close your hiring funnels, complete ongoing conversations with candidates, and ensure a professional transition for candidates that have been exposed to your company’s brand.
Great Candidate Guarantee
For your peace of mind we guarantee we will provide great candidates, these are the terms:
If, after The First 60 Days, we haven’t provided a minimum of three (3) qualified candidates, or 1 hire measured in aggregate across all roles (see Key Definitions section for what constitutes as a “qualified candidate” and a “hire”),then you may terminate the agreement and request a refund of your monthly subscription fees ($4,990 if on Active Headhunter subscription and $2,990.00 if on the discontinued Outsourced Hiring subscription) by notifying us in writing within 7 days after the initial 60-day period. Refunds will be issued after your account has been reviewed and on condition you have complied with the client responsibilities detailed in the section above. This policy is in place to cover our initial costs for setting up active hiring funnels, creating supplement assets to attract candidates, and other expenses incurred. We appreciate your understanding.
The Great Candidate Guarantee (GCG) is exclusively linked to the initial 60-day subscription period. Reactivations of the subscription are not covered by the GCG.
Commission Only / 1099 Jobs
Please note that The Contractor Consultants' "Great Candidate Guarantee" does not extend to searches for commission-only or 1099 positions. While we commit to making every reasonable effort to source candidates for these job campaigns, the absence of a base salary inherent to such positions prevents us from guaranteeing candidate identification.
Job Changes
The Contractor Consultants' "Great Candidate Guarantee" does not apply if a Job Campaign Change is made within The First 60 days. This policy is in place to help cover costs incurred by closing searches with an active campaign, creating new assets or collateral for new campaigns, and to allow sufficient time for campaigns to be executed.
The Contractor Consultants' "Great Candidate Guarantee" does not apply if the job campaign (job search opening) is requested to be closed by you within The First 60 days.
Refund/Cancellation Limitations
Refunds are only available under the above terms or the Great Candidate Guarantee. Refund eligibility is void if:
- The client has been a partner with The Contractor Consultants (TCC) for more than sixty (60) days following the official onboarding date.
- The client fails to provide feedback within 48 hours of candidate submission for five (5) or more qualified candidates (see Key Definitions section for what constitutes as a “qualified candidate).
- The client maintains competing job postings or engages external recruiters for overlapping roles.
- The client cancels or changes campaigns within the first 60 days from the onboarding date.
- If the client engages in unprofessional, improper, or abusive communication with either candidates or TCC staff, the client will be in violation of this agreement.
- The client's interview or hiring process was perceived by candidates as unprofessional, misleading, or discourteous.
- The client attempts to cover multiple brands, separate hiring markets, or different locations under a single subscription without prior disclosure, thereby misrepresenting the scope of entities covered.
Cancellation Request Prior to Onboarding
Clients may receive a full refund if a written cancellation request, including a clear reason, is submitted within fourty-eight (48) hours of the onboarding date.
However, if a client cancels within this 48-hour window but prior to completing their onboarding call, TCC will issue a refund minus a twenty percent (20%) setup fee to cover administrative and onboarding costs.
Client Unresponsiveness Prior to Onboarding
Should a client fail to complete the onboarding process and remain unresponsive to all contact attempts (calls, emails, scheduling) for over thirty (30) days, the upfront payment is non-refundable.
Mutual Non-disparagement
You agree not to disparage us, The Contractor Consultants, and or our officers, directors, employees, shareholders and agents, in any manner likely to be harmful to them or their business, business reputations or personal reputations. Likewise, we agree to direct our officers and directors not to disparage you in any manner likely to be harmful to you or your personal or business reputations or relationships. Disparage, as used herein, includes without limitation false or misleading statements. Notwithstanding the foregoing, nothing in these terms & conditions or any other agreement between the parties prohibits you or us from responding accurately and fully to any request for information or disclosure of documents if required by law, court order, subpoena or other legal process, in any criminal, civil, or regulatory proceeding or investigation, or in any legal dispute between the parties. In addition, nothing in these terms & conditions or this Agreement is intended to prohibit or restrain the parties in any manner from making disclosures that are protected under the whistleblower provisions of federal or state law or regulation.
Terms our lawyer insisted we include
The Contractor Consultants is here to help you find candidates but is not responsible for the actions, performance, or suitability of anyone you hire. We may terminate this agreement at any time for any reason, and if we do outside of The First 60 Days we will refund you a prorated portion of prepaid fees for unused services based on the date of termination. You agree to indemnify and hold us harmless from any third-party claims, liabilities, or damages, including attorney fees, arising out of or related to your relationship with us including without limitation a) your use of our services or b) the actions of any candidates, unless the indemnity obligation arises from our gross negligence or violation of law. This document constitutes the entire agreement between the parties and may not be modified or amended except through a written agreement signed by both parties. This agreement is governed by the laws of the state of California, and any disputes will be handled in Los Angeles, California.
Non-Solicitation of Employees. During the term of this Agreement and for a period of twelve (12) months following its termination, the Client agrees not to directly or indirectly solicit for employment, hire, or engage as an independent contractor any employee of Contractor Consultants LLC who was involved in providing services under this Agreement, without the prior written consent of Contractor Consultants LLC. For clarity, "solicitation" means targeted recruitment efforts directed at specific employees and does not include general employment advertisements or listings not specifically directed at Contractor Consultants LLC's employees. The Client acknowledges that Contractor Consultants LLC's employees represent valuable assets, and that Contractor Consultants LLC invests substantial resources in recruiting, training, and retaining its employees. In the event the Client solicits an employee in violation of this provision, the Client agrees to pay Contractor Consultants LLC liquidated damages equal to forty percent (40%) of the employee's annual compensation or ten thousand dollars ($10,000), whichever is greater, regardless of whether the employee accepts employment with the Client. Payment of these liquidated damages does not constitute permission to hire or engage the employee, and Contractor Consultants LLC reserves all rights to seek injunctive relief. For senior employees or those with access to proprietary information (as reasonably determined by Contractor Consultants LLC), the liquidated damages shall instead be fifty percent (50%) of the employee's annual compensation or fifteen thousand dollars ($15,000), whichever is greater. The Client acknowledges that monetary damages alone may be an inadequate remedy for breach of this provision, and Contractor Consultants LLC shall be entitled to injunctive relief to prevent further violations, without the necessity of posting bond or proving actual damages. Nothing in this provision shall prohibit an employee from voluntarily seeking employment with the Client without solicitation by the Client. This provision shall survive termination of this Agreement.
In no event will we be liable under this agreement for consequential, indirect, incidental, special, exemplary, punitive or enhanced damages, lost profits or revenues or diminution in value, arising out of this agreement, regardless of (1) whether such damages were foreseeable, (2) whether we were advised of the possibility of such damages or (3) the legal or equitable theory upon which the claim is based. Our liability for any and all claims and damages is limited to the total fees paid to us by you in the 60 days before the claim is made.
By accepting this engagement letter, you agree to the terms and we look forward to a successful hiring process with Contractor Consultants.
Key Definitions
“Location”: A "Location" is defined as a single physical worksite or metropolitan market requiring its own distinct recruiting effort. This is determined by:
- Commute Feasibility: An area within a 50-mile radius or a one-hour commute from the set location, whichever is less.
- Job Board Requirements: The market must require a separate, dedicated advertising and applicant flow, meaning unique job board postings are necessary.
A single Location necessitates The Contractor Consultants (TCC) sponsoring the necessary advertisements and managing all incoming applicants for that unique campaign. This definition applies regardless of whether multiple brands or divisions operate under common ownership (Business entity separation).
“Hiring Funnel”: A single open role advertised in one geographical area.
“Role”: A specific position and set of professional responsibilities associated with a single job title (e.g., Project Manager or Laborer). A "Role" serves as the foundation for a Job Campaign, which is the active recruitment process - including sourcing, vetting, and interviewing - undertaken by TCC to fill that position.
“Qualified Candidate”: A candidate is considered "Qualified" when they meet all of the following criteria:
- Must-Have Criteria Met: The candidate satisfies all mandatory requirements specified in the Client-approved job description.
- TCC Screen Passed: The candidate successfully passes The Contractor Consultants (TCC) initial phone screening.
- Complete Profile Approved: The candidate’s resume and Vetted Candidate Summary (VCS) are approved by the client, confirming they meet multiple specified requirements (skills, experience, certifications).
- Client Approval for Next Round: The Client approves them for a subsequent interview based on the TCC submission.
“Hire”: A "Hire" is a candidate who meets the following criteria:
- The candidate was submitted by TCC for the specific role.
- The candidate was interviewed by the Client.
- The Client extends an offer of employment to the candidate.
- The candidate accepts the Client's offer of employment.
